Guernsey structure acquires international exhibition company

31 March 2015

Inflexion Private Equity has used a Guernsey based acquisition structure to invest in business-to-business exhibition organiser CloserStill Media Ltd.

Headquartered in London, CloserStill is the UK's fastest growing event organiser, specialising in the healthcare and technology industries. The firm held its first event outside of the UK in 2013 and now generates 20% of its revenue internationally.

Simon Turner, Managing Partner at Inflexion, which has a number of Guernsey-domiciled funds, said: "We have been following CloserStill for a number of years, attracted by a high-growth, niche business with great fundamentals, excelling under the leadership of a best-in-class management team. It is great that we could offer the right investment solution and we look forward to partnering with the team to accelerate the international trajectory of their business."

Law firm Carey Olsen advised Inflexion on the offshore element of its investment into CloserStill.

The Carey Olsen team, comprising Guernsey Partner Andrew Boyce and Senior Associate James Stockwell, advised on matters involving the establishment of the acquisition structure in Guernsey.

Mr Boyce said: "It is always enjoyable to work with the dynamic and entrepreneurial Inflexion team. Our extensive experience in structuring private equity transactions enables us to deal with corporate and regulatory issues quickly and  effectively and in so doing assist the client in fulfilling its objectives."
